(1) These General Terms and Conditions (hereinafter "Terms") apply to all contracts for the use of the link shortening service "Smoio" (hereinafter "Service") between Portalix Management UG (haftungsbeschränkt) (hereinafter "Provider") and the Customer.
(2) Deviating, conflicting or supplementary general terms and conditions of the Customer shall not become part of the contract unless the Provider expressly agrees to their validity in writing.
(1) The Provider provides the Customer with a GDPR-compliant link shortening service with analytics. The service enables URL shortening and click analysis without using cookies or storing IP addresses.
(2) The scope of functions depends on the selected plan (Starter, Professional, Business). Current plans and services are available at https://smoio.com.
(3) The Provider does not owe any specific availability, but strives for high accessibility of the Service.
(1) The contract is concluded through registration of the Customer and booking of a paid plan.
(2) By booking, the Customer submits a binding offer to conclude a usage contract. The Provider accepts this offer by activating the account.
(3) The Customer warrants that they are of legal age and have full legal capacity. The Service is exclusively for business customers (B2B).
(1) Prices are based on the current price list at https://smoio.com#pricing.
(2) All prices are in Euro (€) net plus applicable VAT.
(3) Payment is made by credit card or SEPA direct debit in advance.
(4) Billing is done monthly or annually in advance, depending on the selected billing period.
(1) The contract is concluded for an indefinite period.
(2) The Customer may terminate the contract at any time with 30 days' notice to the end of the month.
(3) The Provider may terminate the contract with 4 weeks' notice to the end of the month.
(4) The right to extraordinary termination for good cause remains unaffected.
(1) The Customer undertakes to use the Service only for lawful purposes and not to distribute content that violates applicable law, third-party rights or common decency.
(2) The Customer is responsible for compliance with the General Data Protection Regulation (GDPR) when using the Service.
(3) The Customer must keep their access data secret and protect it from access by third parties.
(1) The Provider processes personal data of the Customer in accordance with the privacy policy at /en/privacy.
(2) The Provider processes data on behalf of the Customer in accordance with Art. 28 GDPR. A data processing agreement (DPA) is provided upon request.
(3) The Service is hosted in Germany. No data is transferred to third countries.
(1) The Provider strives for high availability of the Service but does not owe any specific availability.
(2) The Provider is entitled to temporarily suspend the Service at any time if this is necessary for maintenance work, capacity concerns or to ensure security.
(1) The Provider is fully liable for damages resulting from injury to life, body or health that are based on an intentional or negligent breach of duty.
(2) For other damages, the Provider is only liable for breach of essential contractual obligations (cardinal obligations), limited to the foreseeable, contract-typical damage.
(3) Any further liability of the Provider is excluded.
(1) The Provider reserves the right to change these Terms with effect for the future.
(2) Changes will be communicated to the Customer by email at least 4 weeks before they take effect.
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) The place of jurisdiction is, as far as legally permissible, Munich.
(3) Should individual provisions of these Terms be or become invalid, the validity of the remaining provisions remains unaffected.
